Terms and Conditions โ€” Normal User / Tenant

1. Acceptance of Terms

By registering and using the Stanpers PrimeSpace platform as a Normal User (Tenant), you agree to comply with and be bound by these terms and conditions of use. If you do not agree, please do not use this service.

2. Account Responsibility

You are responsible for maintaining the confidentiality of your account information and password. You agree to accept responsibility for all activities that occur under your account. You must notify Stanpers immediately of any unauthorized use.

3. User Conduct

As a tenant you agree to:

  • Provide accurate personal information during registration
  • Use the platform legally and ethically
  • Not engage in fraud, misrepresentation, or deception
  • Respect the rights and privacy of property owners and other users
  • Not upload malware or any harmful code
  • Comply with all applicable laws and regulations

4. Booking & Payment Terms

For all bookings and payments made through the platform:

  • Prices are listed in the specified currency
  • Payment terms and conditions of individual property owners apply
  • Bookings are subject to availability
  • Cancellation policies vary by property and are clearly listed
  • Disputes shall be resolved according to the platform's dispute resolution process

5. Tenant Obligations

As a tenant using rented or booked spaces you agree to:

  • Pay rent and any other charges on time as agreed
  • Maintain the property in good condition
  • Report maintenance issues promptly through the platform
  • Adhere to property rules set by the property owner or caretaker
  • Vacate the property at the end of the agreed period unless renewed

6. Data Privacy

Your use of the platform is subject to our Privacy Policy. We collect and use your personal information only as described in the policy. You consent to the collection of your name, contact details, and usage data for the purpose of providing our services.

7. Limitation of Liability

Stanpers shall not be liable for any indirect, incidental, or consequential damages resulting from the use of or inability to use the platform. Stanpers is not responsible for the accuracy of property listings, property availability, or disputes between you and property owners.

8. Modifications to Terms

Stanpers may revise these terms at any time. Continued use of the platform constitutes acceptance of the updated terms.

9. Governing Law

These terms are governed by the laws of the jurisdiction in which Stanpers operates. You submit to the exclusive jurisdiction of the courts in that location.

Terms and Conditions โ€” Property Owner

1. Acceptance of Terms

By registering and using the Stanpers PrimeSpace platform as a Property Owner, you agree to comply with and be bound by these terms and conditions. If you do not agree, please do not use this service.

2. Account Responsibility

You are responsible for maintaining the confidentiality of your account information and password. You agree to accept responsibility for all activities that occur under your account, including those of any caretakers, agents, or delegates you invite. You must notify Stanpers PrimeSpace immediately of any unauthorized use.

3. Property Listing Obligations

As a property owner listing properties on the platform you agree to:

  • Provide accurate and truthful property descriptions, photos, and pricing
  • Keep property availability and details up to date
  • Not list properties you do not own or have legal authority to manage
  • Comply with all local property laws, building codes, and safety regulations
  • Maintain properties in a habitable and safe condition
  • Respond to tenant and booking inquiries in a timely manner

4. Property Approval

All properties listed through the platform are subject to review and approval by the Stanpers PrimeSpace Super Admin. Properties may be deactivated if found to violate any terms, contain inaccurate information, or fail to meet platform standards.

5. Financial Terms

As a property owner using the platform's financial services:

  • You are responsible for setting fair and transparent pricing
  • Platform service fees may apply as communicated separately
  • Payment processing and disbursement timelines are governed by the platform's payment policies
  • You are responsible for your own tax obligations related to rental income
  • You must issue receipts and bills through the platform as required

6. Delegation & Collaboration

Property owners may invite caretakers, agency admins, and other property managers through the platform's collaboration tools. You are responsible for:

  • Verifying the identity and suitability of invited collaborators
  • Managing access levels and permissions granted to collaborators
  • Actions taken by your delegates on the platform

7. Tenant Relations

You agree to:

  • Honour confirmed bookings and tenancy agreements
  • Address maintenance requests promptly through the platform
  • Follow the platform's dispute resolution process for any disagreements
  • Not discriminate against tenants on any unlawful basis
  • Provide adequate notice for any changes to tenancy terms

8. Data Privacy

Your use of the platform is subject to our Privacy Policy. Tenant data collected through your properties must be handled in accordance with applicable data protection laws. You may not share tenant information outside the platform without their consent.

9. Limitation of Liability

Stanpers PrimeSpace shall not be liable for any indirect, incidental, or consequential damages resulting from the use of or inability to use the platform. Stanpers acts as a platform facilitator and is not a party to agreements between property owners and tenants.

10. Termination

Stanpers PrimeSpace reserves the right to suspend or terminate property owner accounts that violate these terms, engage in fraudulent activity, or receive repeated verified complaints from tenants.

11. Modifications to Terms

Stanpers PrimeSpace may revise these terms at any time. Continued use of the platform constitutes acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of the jurisdiction in which Stanpers operates. You submit to the exclusive jurisdiction of the courts in that location.

Terms and Conditions โ€” Service Provider

1. Acceptance of Terms

By registering and using the Stanpers PrimeSpace platform as a Service Provider (cleaning, maintenance, security, and other service businesses), you agree to comply with and be bound by these legally binding terms and conditions. These terms apply to both individual professionals and registered companies.

2. Service Provider Registration Types

The platform accepts two types of service provider registrations:

  • Individual Professional: Self-employed individuals offering services directly to clients
  • Company/Business: Registered business entities offering services through their organization

3. Registration Requirements

For Individual Professionals:

  • Valid national ID or passport
  • KRA PIN certificate (individual)
  • Professional licenses or certifications relevant to the service type
  • Business registration certificate (if operating as a sole proprietor)
  • Valid contact information and physical address

For Companies/Businesses:

  • Certificate of Incorporation or Business Registration Certificate
  • Company KRA PIN certificate
  • Valid business permit from relevant county government
  • Professional licenses or certifications relevant to the service type
  • Memorandum and Articles of Association (for limited companies)
  • Director identification and contact information
  • Registered office address and physical business location

4. Service Scope and Standards

  • Service providers must clearly define the scope of services offered through the platform
  • All services must meet professional industry standards and applicable Kenyan regulations
  • Service providers must maintain necessary licenses, permits, and certifications required by law
  • Services must be performed with reasonable care, skill, and diligence
  • Service providers must use appropriate equipment and materials for the services rendered
  • Companies must ensure all employees meet the same professional standards

5. Payment and Financial Terms

For Individual Professionals:

  • Must have a valid individual KRA PIN and comply with personal income tax obligations
  • Payments subject to withholding tax as per KRA regulations for individuals
  • Must issue valid tax invoices for all services rendered
  • Must maintain accurate financial records for at least 7 years

For Companies/Businesses:

  • Must have a valid company KRA PIN and comply with corporate tax obligations
  • Payments subject to withholding tax as per KRA regulations for companies
  • Must issue valid tax invoices with company details and VAT registration (if applicable)
  • Must deduct and remit PAYE for employees in accordance with Kenyan law
  • Must maintain accurate financial records for at least 7 years
  • Must file annual returns with KRA and Registrar of Companies

6. Insurance and Liability

For Individual Professionals:

  • Must maintain professional indemnity insurance relevant to their service type
  • Must have public liability insurance covering third-party claims
  • Personally liable for damages to client property caused by negligence or willful misconduct
  • Must have personal accident insurance for self-protection

For Companies/Businesses:

  • Must maintain comprehensive public liability insurance
  • Must have professional indemnity insurance relevant to their service type
  • Must have workers' compensation insurance for all employees
  • Company liable for damages caused by employees in the course of employment
  • Must have employer's liability insurance

7. Health and Safety Compliance

  • Service providers must comply with Occupational Safety and Health Act (OSHA) requirements
  • Appropriate personal protective equipment (PPE) must be used where required
  • Service providers must conduct risk assessments before commencing work
  • Hazardous materials must be handled and disposed of according to environmental regulations
  • Service providers must maintain a safe working environment for their employees and clients
  • Companies must have designated safety officers for larger operations

8. Data Protection and Confidentiality

  • Service providers must comply with the Data Protection Act (2019) when handling client information
  • Client property information, access codes, and security details must be kept confidential
  • Service providers must not share client data with third parties without explicit consent
  • Client data must be securely stored and disposed of when no longer needed
  • Breach of client confidentiality may result in immediate termination and legal action

9. Background Checks and Vetting

For Individual Professionals:

  • Must undergo background checks including criminal record verification
  • Must provide references from previous clients or employers
  • Professional qualifications must be verified

For Companies/Businesses:

  • Company directors must undergo background checks
  • All employees must be vetted before being assigned to client properties
  • Company must maintain up-to-date employee records

10. Access to Properties

  • Service providers must only access client properties during agreed times
  • Access must be obtained through authorized channels only
  • Service providers must not share access codes or keys with unauthorized persons
  • Any security breaches must be reported immediately to the client and platform
  • Service providers must respect client privacy and property rights at all times

11. Termination and Suspension

  • Stanpers PrimeSpace may suspend or terminate service provider accounts for violations of these terms
  • Service providers may terminate their account with 30 days written notice
  • Ongoing service obligations must be fulfilled before termination
  • Client payments for completed services are non-refundable
  • Terminated service providers must return all client property and access materials

12. Dispute Resolution

  • Disputes will first be attempted to be resolved through mediation
  • If mediation fails, disputes will be resolved through arbitration in accordance with Kenyan law
  • The arbitration will be conducted in Nairobi, Kenya
  • Each party bears their own costs unless otherwise determined by the arbitrator

13. Governing Law

Service provider agreements are governed by the laws of the Republic of Kenya, including but not limited to:

  • Contract Act (Cap 23)
  • Consumer Protection Act (2012)
  • Data Protection Act (2019)
  • Occupational Safety and Health Act
  • Competition Act
  • Income Tax Act (Cap 470)
  • Companies Act (2015) - for registered companies
  • Business Registration Service Act - for business registration

Service providers irrevocably submit to the exclusive jurisdiction of Kenyan courts for any disputes arising from these terms.
